Terms and Conditions of Purchase

1. Definitions

1. Terms and conditions of purchase and sale — the terms of a distance contract for the purchase/sale of a product or service, which define the rights and obligations of the Buyer and the Seller when purchasing goods and services, the payment terms, the procedure for delivery, if the product is shipped, and returns, the liability of the parties, and other provisions related to the purchase/sale of goods and services on the website www.zaliaszingsnis.lt.
2. Seller — MB Sveika ir gardu, company code 305663924, Oršos g. 4, Vilnius, Lithuania.
3. Buyer — 1) a person who has reached the age of majority under the laws of the Republic of Lithuania and whose legal capacity has not been restricted by court order; 2) a legal entity; 3) duly authorised representatives of all the above-mentioned persons.
4. Personal data — the Buyer’s name, surname, telephone number and email address.

2. General provisions

1. These terms and conditions are a binding legal document for both parties, defining the rights and obligations of the Buyer and the Seller, the delivery and return procedure, the terms for purchasing and paying for goods, the liability of the parties, and other possible conditions related to the purchase/sale of goods and services on the website www.zaliaszingsnis.lt.
2. The Seller reserves the right to change, supplement or amend these terms at any time. Buyers are informed about any changes, amendments or supplements to the terms on the website www.zaliaszingsnis.lt. Buyers must familiarise themselves with these terms before purchasing a product/service. New terms, amendments and supplements to the terms enter into force upon their publication on www.zaliaszingsnis.lt with the note “Change of Terms” and the date of the change.
3. Only Buyers who meet the requirements set out in Clause 1.3 of these terms have the right to purchase goods and services from the website www.zaliaszingsnis.lt. By registering and purchasing goods and services, the Buyer confirms that they meet the requirements of Clause 1.3. In case of uncertainty, the Seller reserves the right to request the Buyer to reconfirm their personal data.
4. The Seller has the right to refuse to sell a product and/or suspend the provision of a service if the Buyer does not confirm compliance with the requirements set out in Clause 1.3.

3. Protection of personal data

1. By purchasing goods and services from www.zaliaszingsnis.lt, the Buyer agrees that www.zaliaszingsnis.lt may process their name, surname, email address and telephone number for direct marketing and business analysis purposes.
2. If the Buyer does not wish their data to be processed in accordance with Clause 3.1, the Buyer must not tick the box “I agree to the purchase and sale terms of www.zaliaszingsnis.lt”. If the Buyer no longer wishes their data to be used for direct marketing purposes, the Buyer must inform the Seller by email.
3. The Seller confirms that the personal data provided by the Buyer will be processed only for the purpose of selling goods and services on www.zaliaszingsnis.lt, as well as for direct marketing and analysis purposes. The Seller undertakes not to disclose the Buyer’s personal data to third parties, except in the following cases:
   1. when fulfilling an order or providing other services — to the Seller’s partners who provide delivery services or other services ordered by the Buyer;
   2. to law enforcement authorities in accordance with the procedure established by the laws of the Republic of Lithuania;
   3. if it is necessary to prevent or investigate criminal offences.
4. The Buyer has the following rights:
   1. to be informed about the processing of their personal data;
   2. to access the personal data they have provided and know how it is processed;
   3. to receive information about for what purpose their personal data is processed and to whom it has been provided;
   4. to request the correction or deletion of their personal data and the suspension of personal data processing activities;
   5. to object to the processing of their personal data.
5. By purchasing goods and services on www.zaliaszingsnis.lt, the Buyer agrees that the Seller has the right to store their data on the server indefinitely, provided that all lawful purposes for storing personal data exist.
6. The Buyer’s identity document presented to the Seller, an employee of Lithuanian Post or a courier service employee, and the data contained therein, are used only for identity verification and identification purposes.
7. Any request or instruction related to the processing of personal data must be submitted by the Buyer in writing by sending an email to info@zaliaszingsnis.lt. Upon receiving such a request or instruction from the Buyer, the Seller must, no later than within 10 calendar days, provide the Buyer with a written response by email and perform the actions specified in the request or instruction, or explain why they refuse to perform them.

4. Ordering goods and the moment of creation of purchase-sale legal relations

1. When ordering goods or services from the website www.zaliaszingsnis.lt, the Buyer must provide the correct information required to fulfil the order in the information fields provided by the Seller: name, surname, delivery address, telephone number and email address. The Buyer agrees that information and notifications necessary for the fulfilment of the order may be sent to them by email or SMS. The Buyer agrees that part of the Buyer’s personal data may be transferred to the Seller’s partners, data processors, in order to properly fulfil the order and provide the service.
2. Once the Buyer has selected a product or service, created a shopping cart and confirmed it by completing all order steps, it is considered that a purchase-sale contract and legal purchase-sale relations have been concluded between the Buyer and the Seller.
3. The Buyer is informed by email or SMS when all order steps have been completed correctly.
4. The Buyer’s orders are stored in the www.zaliaszingsnis.lt database.

5. Buyer’s rights

1. The Buyer has the right to purchase goods and services on the website www.zaliaszingsnis.lt in accordance with the procedure established in these terms.
2. The Buyer has the right to refuse ordered goods and services in accordance with the procedure established in these terms.
3. The Buyer has the right to return goods and services in accordance with the procedure established in these terms.
4. The Buyer has other rights established in these terms.

6. Buyer’s obligations

1. When purchasing goods and using the services of www.zaliaszingsnis.lt, the Buyer undertakes to comply with these terms, other conditions clearly indicated on the website www.zaliaszingsnis.lt, and not to violate the laws of the Republic of Lithuania.
2. By registering or purchasing goods and services on the website www.zaliaszingsnis.lt, the Buyer undertakes to ensure that the information and personal data provided are not false or incorrect.
3. If the Buyer’s data changes in the registration or purchase form, the Buyer must inform the Seller by email at info@zaliaszingsnis.lt.
4. The Buyer must pay for the ordered goods and services within the specified period.

7. Seller’s rights

1. The Seller reserves the right to suspend or change the functions and layout of the website www.zaliaszingsnis.lt, and to terminate or modify website functions.
2. The Seller reserves the right to suspend or terminate the services provided on the website www.zaliaszingsnis.lt.
3. The Seller reserves the right to change the scope, method and provision of services available on www.zaliaszingsnis.lt, as well as to change the prices of services and goods.
4. If the Buyer attempts to harm the stability and information security of the website www.zaliaszingsnis.lt, the Seller has the right to immediately, without prior notice, suspend, restrict or delete the Buyer’s user account, the Buyer’s actions and the ability to use the website www.zaliaszingsnis.lt.

8. Seller’s obligations

1. The Seller undertakes to provide services and goods in accordance with the provisions and conditions set out in these terms and to enable the Buyer to purchase and use the services and goods provided by www.zaliaszingsnis.lt.
2. The Seller undertakes to process the Buyer’s personal data in accordance with the procedure established by the laws of the Republic of Lithuania and the provisions set out in Clause 3 of these terms.
3. To inform the Buyer about changes made in accordance with Clauses 7.1–7.4 of these terms.
4. The Seller undertakes to deliver the goods and services ordered by the Buyer to the address indicated by the Buyer or by the intended method of service delivery in accordance with the “Goods Delivery Terms”.
5. The Seller undertakes to accept goods and services returned by the Buyer in accordance with the provisions set out in the “Goods and Services Return Terms”.

9. Exchange of information

1. The Seller sends all notifications to the Buyer’s contact information in accordance with the procedure provided for in Clause 3.2 of these terms.
2. In case of questions or when resolving an issue, the Buyer sends notifications to the contact details indicated on the Seller’s “Contact” page.

10. Gift voucher

1. The gift voucher is non-refundable and cannot be exchanged for cash.
2. The gift voucher gives the right to use the specified service or to choose services for the amount indicated on the gift voucher.
3. The gift voucher may be used to pay for goods and services only once by entering the gift voucher number in the online store www.zaliaszingsnis.lt.
4. The gift voucher is valid for 6 months from the date of purchase. The expiry date of the gift voucher is indicated on the gift voucher.
5. A VAT invoice is not issued when purchasing a gift voucher. Upon request, an invoice will be issued after the service has been provided or the product has been purchased.
6. MB Sveika ir Gardu reserves the right to change these gift voucher usage rules and undertakes to inform about this in advance on the website www.zaliaszingsnis.lt.

8. The gift voucher cannot be combined with discounts.

11. Gift rules

1. The Buyer receives free gifts when ordering goods for 50, 100 or 200 euros.
2. Gifts are automatically added to the cart. No payment is required for them.
3. The quantity of gifts is limited. If a certain gift category runs out, the Seller reserves the right to replace the gifts.

12. Points Program

We are pleased to introduce our new Points Program! Now, with every purchase, you can earn points that can later be exchanged for discounts. Here is how our points system works.

1. Sign-up bonus: when you create a new account on our website, you receive 50 points as a gift.
2. How to earn points: for every euro spent, you receive 1 point. For example, when purchasing goods for 10 euros, you receive 10 points.
3. Accumulating points: points are accumulated and stored in your account after each purchase.
4. How to use points: 100 accumulated points can be exchanged for a 1 euro discount.
5. Using points: the discount can be used on any subsequent purchase, with no minimum purchase amount required. Discounts cannot be combined with other promotions or offers.

13. Final provisions

1. These terms have been prepared in accordance with the laws of the Republic of Lithuania.
2. Relations arising on the basis of these terms shall be governed by the law of the Republic of Lithuania.
3. All disagreements arising from the implementation of these terms shall be resolved through negotiation. If no agreement is reached within 20 calendar days, disputes shall be resolved in accordance with the procedure established by the laws of the Republic of Lithuania.
